A company secretary (CS) is a governance professional, who advises the boards of companies on strategy formulation, compliances and governance matters. S/he acts as a link between the board and various stakeholders; establishes and monitors good governance practices and systems in the company. S/he also has expert knowledge about and deals with matters relating to mergers and acquisitions, cross-border takeovers, joint ventures, intellectual property rights, taxation, competition law, forex management, foreign trade policy, foreign investment and matters relating to capital markets, securities laws and arbitration. The educational background, knowledge, training and exposure that a CS acquires makes him/her a versatile professional capable of providing a wide range of services to companies of all sizes, cooperatives, other corporate bodies, firms etc, both as part of the management team as well as an independent practitioner

With increasing liberalization, privatization & globalization of Indian economy, the placement prospects of company secretaries are at their best.

STAGES TO BECOME A COMPANY SECRETARY


The student who would like to join the Course after 10+2(any stream except fine arts ) has to undergo three stages to pursue the Company Secretary Course i.e.

- Foundation Programme
- Executive Programme
- Professional Programme

The Student who would like to join the Course after passing the Graduation has to undergo two stages of the Company Secretaryship i.e.

- Executive Programme
- Professional Programme

Executive Programme can be pursued by a Graduate of all streams except Fine Arts.

LEARN ON THE JOB

After clearing the Executive/Professional Programme, students must undergo 15 months of practical training in a company or under a practising company secretary during which they are paid a stipend ranging from Rs. 6000-10,000 per month. There is also a 15-day practical training with Registrar of Companies, Stock Exchange, financial or banking institutions.

It is a good choice to pursue "Company Secretary (CS)" along with your graduation in any field excpet Fine arts.


Stages to become a Company Secretary (CS):
The student who would like to join the course after 10+2 pass or equivalent has to undergo 3 stages to pursue the company Secretaries Course. i.e
1. Foundation Programme
2. Executive Programme
3. Professional Programme

The student who would like to join the course after passing the Graduation has to undergo 2 stages of the the company secretaryship. i.e.
1. Executive Programme
2. Professional Programme

- Foundation Programme which is of 8 months duration can pursued by 10+2 pass or equivalent students of Arts, Science or commerce Stream (Excluding Fine Arts)
- Executive Programme can be pursued by a graduate of all stream except Fine Arts.
- Professional Programme can be pursued only after clearing the Executive Programme of CS course.


Roles and Responsibilities:
1. An expert in Company, Corporate and Security Laws.
2. A vital link between the company and its Board of Directors, Shareholders, Government and Regulatory Authorities.
3. A Conscience seeker of the company
4. A Compliance Officer of the company
5. Corporate Planner and Strategic Manager.


Scope of the CS:
The CS has very wide scope in the industries now a days.
A qualified company Secretary has openings in industry and also has scope for practicing as an Independent Professional.

CS course offers lucrative career options. After successfully completing this course, you can get into multi national companies for jobs. CS acts as a compliance officer who may provide legal advises in area of Corporate Laws, Capital Market, Corporate Governance, etc.

Job opportunities exists in both private and public sector companies. Some of the areas where you have chances of jobsare SEBI, Stock Exchange Markets etc. A qualified CS can also practice independently. Many government companies also employ CS such as AAI, ONGC, State Infrastructure Development Corporations etc.

Opportunities also exists in banks. Some of the other areas where in one can work are government financial institutions, bureau of public enterprises, account branch of government law service.


Pay Packet:
There is no denying the fact that company secretary is one of the best paid jobs in the country. Even those who have their own practice earn handsomely. A fresher can easily earn a salary upto 3-5 lakhs per annum. having said that it is very imperative to know that packages also depend on what are the candidate's capabilities. A well deserving candidate having profound knowldege of the domain can earn substanially good amount of money.
